Initiating negotiations for the purposes of selling or acquiring a business often requires the seller to disclose confidential information about the business so that the buyer can better evaluate the proposed acquisition. Even though the good faith obligation requires the prospective buyer to ensure a certain degree of confidentiality, it is preferable to clearly define the confidentiality undertaking in a separate document.

This template is presented in the form of a simple letter that sets out the basic undertakings that a person receiving privileged, confidential information should give without, however, precisely defining what constitutes “confidential information,” to give you more latitude in that respect.
