Letter of Intent to Purchase Assets

After reviewing the confidential information regarding a business that is the subject of a proposed acquisition, a prospective buyer will either withdraw the offer or proceed with the transaction. To proceed with the transaction, the purchaser may either prepare a letter of intention ("LOI") containing the main aspects of the acquisition, but without giving a firm undertaking, or prepare an offer to purchase setting out all the terms of the acquisition, which, once accepted, forms a legally binding agreement between the parties.

A letter of intention will, therefore, be used when a prospective buyer does not wish to be bound by a formal offer until all the desired elements are in place. This also enables the purchaser to finalize the details of the conditions for the formal offer to purchase, before incurring costs to have it drafted.

This template sets out the general provisions of a letter of intention, which, upon being accepted, will trigger the due diligence process.
