It is, therefore, important to protect the confidentiality of the information that has been disclosed, regardless of the success of the negotiations. A confidentiality undertaking is very useful for this purpose.

In the field of technology transfer, the disclosure of confidential information is inevitable. Trade secrets are often the main asset of tech businesses, and as such disclosing key information concerning their technologies might put their survival in danger if they do not ensure the confidentiality of this information.

This confidentiality undertaking template sets out the obligations to ensure that the disclosed information will be limited to the proposed transaction. It should be noted that if the undertaking is not complied with, this template does not contain any penalty clauses, meaning the matter would be determined by the courts.
