Welcome to the Website of Edilex Inc. (www.edilex.com). Your use of our Website indicates your agreement with the following Terms of Use. If you do not agree to be bound by and comply with these Terms of Use, please do not access or use this Website.

NOTICE AND USER LICENCES

The following Licences apply to all documents, templates and/or contracts that are downloaded or purchased from Edilex Inc. (hereinafter “Edilex”), whether by subscription, if purchased individually or with an extended licence (hereinafter the “Edilex Products”).

 Clauses that apply specifically to subscriptions

By subscribing to Edilex you are authorized to download any Edilex Product included in your subscription, up to a maximum of 30 downloads per month, which downloads are protected by the Copyright Act of Canada and related international treaties and are the exclusive property of Edilex.

Edilex subscribers are authorized, under a non-exclusive user licence, to use, consult, adapt, reproduce and/or modify the Edilex Products in connection with their professional or business activities (hereinafter your “Licence”), for the term of their subscription. The professional or business activities do not, however, include any publishing activities or any activity involving the public distribution of all or part of the document’s contents, by any means whatsoever.

Notwithstanding the right to modify or adapt the Edilex Products, it is strictly prohibited to remove the intellectual property notice on the title page of the document or to alter it in any manner whatsoever.

It is strictly prohibited to reproduce any Edilex Product, in whole or in part, other than for the purposes of adapting it for professional or business use, as authorized above.

Clauses that apply specifically to individual sales and extended licences

Any purchases made individually and/or with an extended licence entitle you to download the purchased Edilex Product(s), which products are protected by the Copyright Act of Canada and related international treaties and are the exclusive property of Edilex.

Clients who purchase documents individually and/or with an extended licence are authorized, under a non-exclusive user licence, to use, consult, adapt, reproduce and/or modify the Edilex Products in connection with their professional or business activities (hereinafter your “Licence”); however, individually purchased documents may only be used once and a document with an extended licence may only be used until its term expires. The professional or business activities do not, however, include any publishing activities or any activity involving the public distribution of all or part of the document’s contents, by any means whatsoever.

Notwithstanding the right to modify or adapt the Edilex Products, it is strictly prohibited to remove the intellectual property notice on the title page of the document or to alter it in any manner whatsoever.

It is strictly prohibited to reproduce any Edilex Product, in whole or in part, other than for the purposes of adapting it for professional or business use, as authorized above.

General Clauses

The following general clauses apply to your Licence, regardless of the type of licence.

It is strictly prohibited to download Edilex Products in breach of your Licence, such as for archiving purposes.

Accordingly, you undertake, upon request by Edilex, to:

  • pay Edilex the sum of $10 for each page of any Edilex Product that has been downloaded or reproduced in breach of your Licence;
  • destroy or consent to the destruction of any electronic file containing any Edilex Product that is downloaded, reproduced or stored in breach of your Licence.

The right to use the Edilex Products expires when the term of your Licence expires or is terminated.

While all Edilex Products are reviewed and revised by Edilex’s team of legal experts to ensure they are compliant with the applicable laws in Quebec at the time they are drafted, Edilex may not in any way guarantee that they are legally compliant or appropriate and it disclaims all warranties or conditions, express or implied, relating to the contents of the documents. Any person who intends to use any Edilex Product should consult with a legal professional to ensure that the contents are compliant and appropriate in his/her specific circumstances. Edilex is not liable for any loss or damage caused, in whole or in part, by any errors or omissions that it may make when entering, compiling, interpreting, presenting, drafting, communicating, updating or delivering the information contained in any Edilex Product. Without limiting the effect of the foregoing, Edilex’s cumulative liability for any claim arising from the direct or indirect use of any Edilex Product may not exceed the cost of the subscription or the unit price of a document (if purchased individually), as the case may be.

This agreement represents the only agreement between you and Edilex.

By downloading any Edilex Product, you acknowledge that you have read the terms of the Licence and undertake to fully comply therewith. Edilex reserves the right to terminate the licence if you do not comply with the conditions of your Licence and the related terms, without prejudice to any of its other rights or remedies.

This document is protected by the Copyright Act of Canada and related international treaties. Any unauthorized reproduction of this document, whether in whole or in part, is strictly prohibited. Annual subscribers to Edilex Inc. (hereinafter “Edilex”) or clients who purchase documents individually are, however, authorized to reproduce this document only for consultation and adaptation purposes related to their business or professional activities, on condition that such reproduction is not for publication purposes or related to any other activity involving the public distribution of all or part of the document’s contents, for any reason whatsoever.
