At the time of signing a shareholder agreement, it can be difficult to predict how the relationships between the parties will evolve. Disagreements may sometimes arise, and the only reasonable solution may be for one of the shareholders to withdraw. Triggering the withdrawal of a shareholder requires a mechanism, referred to as a "shotgun clause," which is provided in our shareholder agreement templates (B02500, B02400 and B02560).
This template to offer to purchase shares under a "shotgun" clause should, therefore, be used by the shareholder(s) of either side of the dispute to initiate the dispute resolution process by offering to purchase the shares of the other shareholder(s).
