Loan for Use Agreement

When a business retains the services of a subcontractor to produce a specific part, this may require the use of a matrix or mould. If the business provides the matrix or mould to the subcontractor free of charge, this constitutes a loan for use and the terms of such loan should be made in writing to avoid problems, such as conflicts relating to the ownership of the matrix or mould.

This template sets out the main elements of the legal framework required for such a loan, which is an agreement that is ancillary to the subcontracting agreement.

Loan for Use Agreement

We recommend the use of this document to govern the relationship between a client and a subcontractor when the latter produces any part intended to be incorporated in the goods manufactured by the client.

If this transaction involves significant economic risks due to either the value of the loaned item or as a result of the arm's length relationship between the customer and supplier, this loan for use agreement template is highly recommended. Otherwise, a less-detailed version of this agreement (see template G03305) can be used to evidence the existence of the loan and its terms. Note that most loan for use agreements are usually ancillary to a subcontracting agreement (see template G03200).
