Once a business successfully completes a public offering, the volume of transactions on the securities it issues significantly increases. This can cause many problems related to the monitoring and implementation of each such transaction for the business having issued such securities. To avoid this overflow, many "public" companies or corporations retain the services of a transfer agent who has the required logistic support to perform such tasks. This document establishes the legal framework of such services.

The agency agreement is the legal instrument by which an issuer of securities gives responsibility for the issuance, transfer and cancellation of its securities, and for the maintenance of its securities register, to a person named " agent".

We recommend using this agency agreement when an issuing corporation retains the services of a transfer agent as part of a public offering. This type of agreement is generally used along with a Best Efforts Agency Agreement (template D03200) and an Escrow Agreement (template D03300) or an Escrow Agency Agreement (template D03400), which covers the obligations of the first two.
