International Sale of Goods Agreement

Unless otherwise expressly stated, the international sale of goods is usually governed by the United Nations Convention on Contracts for the International Sale of Goods, known as the Vienna Convention, ratified by Canada and Quebec.

This template can be used not only to govern the successive sale of goods to a foreign customer but also the establishment of a distribution relationship with the latter.

International Sale of Goods Agreement

We recommend using this template to govern and define the relationship between a client and a vendor for the sale of goods when the parties have their places of business in different "States." This agreement may be used for any international sale of goods, except for goods bought for personal, family or household use and other exceptions (intangible goods, services, etc.). This agreement does not apply to contracts in which most of the selling party's obligations are in respect of providing labour or other services.
